Job Description

Are you an experienced Board Secretary looking to slow down a bit? Our client is looking for a permanent part time Board Secretary to join their team You can set your own days and structure to ensure a work life balance.

This critical role will involve managing board governance processes, coordinating meetings, and ensuring compliance with legal and regulatory requirements. The Board Secretary will work closely with the Chairperson, CEO, and senior executives to facilitate efficient decision-making and maintain transparency across all board activities.

Duties:
  • Schedule and organise board meetings, including preparing and distributing agendas, meeting papers, and minutes.
  • Ensure accurate and timely communication with board members and relevant stakeholders.
  • Facilitate smooth meeting processes, ensuring all necessary documents and materials are provided.
  • Maintain accurate and up-to-date board records, ensuring compliance with statutory and regulatory requirements.
  • Manage the organisation’s governance documents, including constitutions, charters, and policies.
  • Handle confidential documents securely, ensuring sensitive information is protected.
  • Support the board in understanding and fulfilling governance responsibilities.
  • Ensure compliance with relevant New Zealand legislation, including the Companies Act, Health and Safety regulations, and other regulatory requirements.
  • Advise on best governance practices, board processes, and emerging trends
  • Act as a point of contact between the board, senior management, and external stakeholders.
  • Coordinate communication across departments to ensure the board’s resolutions are implemented effectively.
  • Manage board correspondence and communicate key updates or changes as required.
  • Assist in organising the Annual General Meeting, including shareholder communication and compliance with statutory requirements.
  • Prepare and distribute the organisation’s annual report and other compliance documents.
  • Support the onboarding and ongoing development of board members.
  • Arrange training sessions or resources as needed to enhance board effectiveness.

What we are looking for:
  • Proven experience as a Board Secretary or in a similar governance role with a strong understanding of governance principles and New Zealand’s legal and regulatory framework.
  • Excellent verbal and written communication skills, with the ability to present complex information in a clear and concise manner.
  • Highly organised with a strong focus on accuracy and attention to detail.
  • Ability to handle confidential information with integrity and professionalism.
  • Familiarity with board management software, document management systems, and Microsoft Office Suite.
